1. Acceptance of Terms

By accessing our website (redersoft.com), engaging RederSoft to design or host your website, or utilizing any of our back-office applications (e.g., admin.redersoft.com), you enter into a legally binding agreement and agree to be bound by these Terms of Service. If you do not agree to these Terms, do not utilize our services.

2. Services & What Is Included

RederSoft provides professional website engineering, bespoke development, cloud hosting, and technical management services tailored for small businesses. Each active subscription includes:

• Custom Website Build: A responsive, multi-page website tailored to your business, branding, services, and high-resolution photography.
• High-Performance Cloud Infrastructure: Global content delivery network (CDN) acceleration powered by Amazon Web Services (AWS CloudFront).
• Automated SSL/TLS Encryption: Continuous HTTPS security certificates provisioned and renewed at zero additional cost.
• Ongoing Maintenance & Content Updates: Routine updates to hours, menus, prices, staff rosters, or images handled promptly upon request.
• Clean Semantic Codebase: Pure handcrafted HTML, CSS, and modern JavaScript built for optimal page speed, accessibility, and search engine visibility.

3. Pricing, Monthly Automatic Renewal & Statutory Disclosures

In compliance with the Minnesota Automatic Renewal Law (Minn. Stat. §§ 325G.56 to 325G.63), the Federal Trade Commission Act, and state consumer protection standards, we disclose the following indefinite subscription terms prior to checkout or onboarding:

• Subscription Rate & Billing Interval: Website hosting and maintenance services are billed at the flat rate of $5.00 USD per calendar month. Fees are billed automatically in advance on a recurring monthly billing cycle starting on the date your website service is activated.
• Continuous Service & Automatic Renewal: Your subscription is an ongoing, continuous service that will automatically renew each calendar month at the agreed $5.00/month rate until you affirmatively cancel in accordance with Section 8.
• Zero Upfront or Hidden Surcharges: We do not charge design fees, setup fees, onboarding charges, activation costs, or cancellation fees.
• Payment Processing: Monthly subscription charges are processed through secure, PCI-DSS Level 1 compliant third-party payment gateways (e.g., Stripe). RederSoft never stores or retains full cardholder account numbers.
• Notice of Material Rate Changes: In accordance with Minn. Stat. § 325G.59, if RederSoft makes any material change to the recurring subscription rate or renewal terms, we will provide you with clear and conspicuous written notice via email at least thirty (30) days prior to the effective date of the change, along with instructions on how to cancel prior to renewal.
• Retainable Confirmation: Promptly following initial enrollment or payment authorization, RederSoft provides an email confirmation detailing your recurring subscription terms, renewal date, and online cancellation procedure in a format that you may download, retain, or print.

4. Intellectual Property & Content Ownership

You retain 100% full intellectual property ownership of all materials you provide to us, including company names, logos, registered trademarks, photography, menu descriptions, pricing schedules, and custom copy ("Client Content").

By providing Client Content, you grant RederSoft a limited, non-exclusive, royalty-free license to host, format, adapt for responsive viewports, and display such content solely for the purpose of operating, maintaining, and supporting your website and associated back-office apps during your active subscription.

RederSoft and its licensors retain exclusive ownership of the underlying proprietary templates, reusable code architectures, responsive stylesheet libraries, visual effect engines, and back-office multi-tenant software platforms created by RederSoft.

5. Custom Domain Names

Clients may connect their own custom domain name (e.g., yourbusiness.com) to their RederSoft website. Domain names are registered independently through third-party ICANN-accredited registrars (e.g., Namecheap, Cloudflare, GoDaddy) and are owned exclusively by the client. Any annual domain registration fees charged by third-party registrars (typically $10–$15/year) are the sole responsibility of the client. RederSoft provisions DNS routing and SSL binding at zero additional cost.

6. RederSoft Business Apps Suite

Clients utilizing our headless back-office portals (such as the Restaurant Menu CMS, Salon Chair Scheduler, Church Ministry Hub, or Retail SKU Hub):

• Are granted a revocable, non-exclusive, non-transferable license to access the portal during their active subscription.
• Are responsible for maintaining the confidentiality of their login credentials, passwords, and administrative access codes.
• Acknowledge that changes published in the portal will sync live to their public customer-facing website via edge-cached JSON endpoints.

7. Acceptable Use Policy

You agree not to use RederSoft services or host content that:

• Violates any local, state, federal, or international statute or regulation.
• Infringes on the copyright, trademark, trade secret, or privacy rights of any third party.
• Contains malware, spyware, phishing links, deceptive solicitations, or fraudulent schemes.
• Promotes hate speech, unlawful harassment, violence, defamation, or illegal products.

RederSoft reserves the right to immediately suspend or terminate hosting services for any website found to be in violation of this Acceptable Use Policy.

8. Online Cancellation, Account Termination & Data Portability

In accordance with Minn. Stat. § 325G.58, consumers who enter into an agreement online are entitled to cancel that agreement exclusively online without impediment.

• Easy Online Cancellation: You may cancel your monthly subscription at any time, for any reason, exclusively online by sending an email to support@redersoft.com with the subject "Cancel Subscription" or by submitting a cancellation notice through our contact form.
• No Phone Calls or Obstacles: You are never required to make a telephone call, navigate coercive retention funnels, or speak with an agent to execute your cancellation.
• Zero Cancellation Penalties: There are no cancellation fees, penalty surcharges, or early termination fees of any kind.
• Service Continuity: Your website will remain live and fully operational through the end of your currently paid monthly billing cycle. No further recurring charges will occur.
• Data Portability & Content Export: Upon request received within thirty (30) days of cancellation, RederSoft will provide an export archive containing your submitted high-resolution images, brand assets, and written copy.

9. Conspicuous Disclaimers of Warranties & Limitation of Liability

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES, WEBSITES, HOSTING INFRASTRUCTURE, AND APPLICATIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE MINNESOTA AND FEDERAL LAW, REDERSOFT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT (MINN. STAT. § 336.2-316).

While RederSoft maintains a 99.9% target uptime SLA backed by enterprise AWS infrastructure, we do not warrant that your website will operate completely uninterrupted, error-free, or immune from third-party cyber attacks or general Internet network outages.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT SHALL REDERSOFT, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF GOODWILL, OR LOSS OF DATA), REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). IN ALL CIRCUMSTANCES, REDERSOFT'S AGGREGATE TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO REDERSOFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Digital Millennium Copyright Act (DMCA) Safe Harbor & Takedown

RederSoft respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that material hosted on a client website infringes your copyright, you may submit a formal notification to our Designated DMCA Agent containing:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the infringing material and its exact URL on our hosting network.
• Your contact details: physical address, telephone number, and email address.
• A statement of good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement under penalty of perjury that the information in the notification is accurate and that you are authorized to act on behalf of the owner.

11. Governing Law, Exclusive Minnesota Venue & Severability

These Terms of Service and any dispute, controversy, claim, or litigation arising out of or related to our services, website, or these Terms shall be governed by, construed, and enforced in accordance with the substantive laws of the State of Minnesota, United States, without giving effect to any principles of conflict of laws.

Any legal suit, action, or judicial proceeding arising out of or relating to these Terms or the services provided by RederSoft shall be instituted exclusively in the federal or state courts situated in Hennepin County, Minnesota. You and RederSoft hereby irrevocably submit to the exclusive personal jurisdiction and venue of such courts for the resolution of any disputes.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be deemed severable, and the remaining provisions shall remain in full force and effect.
